These Terms and Conditions, together with any policies, disclosures, disclaimers, rules, or additional terms referenced herein or posted on our website, govern your access to and use of the websites, products, services, memberships, communities, educational materials, live sessions, recordings, software tools, indicators, downloadable resources, emails, text messages, social media content, and any other content or services offered by Drysdale Capital LLC d.b.a. Drysdale Trading Group, referred to herein as “DTG,” “we,” “us,” or “our.”

By accessing or using any DTG website, including drysdaletradinggroup.com, or by purchasing, subscribing to, joining, downloading, viewing, or participating in any DTG product, service, community, class, course, live session, recording, indicator, coaching program, or educational material, you agree to be bound by these Terms and Conditions.

If you do not agree to these Terms, you must not access or use our websites, products, services, communities, or materials.

1. Educational Purposes Only

DTG provides trading education, market commentary, educational content, training resources, trading concepts, strategy discussion, community discussion, and related educational materials.

All content provided by DTG is for general educational and informational purposes only. Nothing provided by DTG should be interpreted as financial advice, investment advice, trading advice, tax advice, legal advice, accounting advice, or a recommendation to buy, sell, hold, short, trade, invest in, or otherwise transact in any security, futures contract, option, commodity, cryptocurrency, derivative, or financial instrument.

DTG does not provide individualized investment recommendations. Any examples, market analysis, trade discussions, chart reviews, indicators, live trading demonstrations, hypothetical examples, or educational scenarios are provided solely for teaching and illustrative purposes.

You are solely responsible for your own trading decisions, investment decisions, risk management, position sizing, and financial outcomes.

2. Not a Signal Service

DTG is not a signal service.

We do not provide trade signals, guaranteed entries, guaranteed exits, personalized trade alerts, or instructions to copy trades. Any discussion of trades, setups, charts, price levels, market context, technical analysis, trade management, or execution is provided for educational purposes only.

You understand and agree that you should not blindly follow, copy, mirror, or replicate any trade, setup, commentary, example, or educational discussion provided by DTG, its owners, instructors, moderators, affiliates, partners, guests, members, or representatives.

You are responsible for conducting your own analysis and determining whether any trade, investment, or strategy is appropriate for you.

3. Trading Risk Disclosure

Trading involves substantial risk and is not suitable for every person.

Futures, options, stocks, ETFs, forex, cryptocurrency, leveraged products, margin products, and other financial instruments can result in significant losses. You may lose some, all, or more than your initial capital. Leveraged trading can magnify both gains and losses. Market conditions can change rapidly, and orders may not be filled at expected prices.

You should not trade with money you cannot afford to lose.

Before trading, you should carefully consider your financial situation, risk tolerance, experience level, objectives, and whether trading is appropriate for you. You should consult a licensed financial advisor, tax professional, attorney, or other qualified professional before making financial decisions.

DTG makes no representation that any trading strategy, method, indicator, system, educational material, live session, course, or coaching program will result in profits or prevent losses.

4. No Earnings or Performance Guarantees

DTG does not guarantee that you will make money, become profitable, pass a prop firm evaluation, receive a payout, avoid drawdown, avoid account loss, or achieve any specific trading result.

Any references to trading results, member results, payouts, account growth, hypothetical performance, backtests, examples, testimonials, case studies, screenshots, trade recaps, or performance discussions are not guarantees of future results.

Past performance is not necessarily indicative of future results.

Individual results vary widely based on many factors, including market conditions, experience, discipline, risk management, psychology, account size, trading plan, execution, fees, commissions, slippage, leverage, and personal decision-making.

You acknowledge that trading is inherently uncertain and that losses are part of trading.

5. Testimonials, Reviews, and Member Results

Testimonials, reviews, member comments, screenshots, trade results, payout examples, and success stories displayed by DTG are individual experiences and do not represent typical, guaranteed, or expected results.

Some testimonials or examples may come from members, affiliates, partners, paid participants, or individuals who have a business relationship with DTG. Where required, DTG will use reasonable efforts to disclose material connections.

Testimonials may be edited for length, clarity, grammar, formatting, or privacy, but we do not intentionally alter the substantive meaning.

You should not assume that you will achieve similar results.

6. Memberships, Subscriptions, and Community Access

DTG may offer paid and free memberships, subscriptions, courses, communities, Discord access, premium content, live sessions, group coaching, recordings, educational libraries, indicators, downloads, and other services.

Membership benefits, content, schedules, pricing, features, and availability may change at any time at DTG’s discretion.

Access to any membership, community, course, indicator, or service is a limited, revocable, non-transferable license for your personal use only.

You may not share, sell, sublicense, distribute, record, reproduce, livestream, rebroadcast, scrape, copy, download, upload, publish, or otherwise exploit DTG content without prior written permission.

DTG reserves the right to deny, suspend, revoke, or terminate access to any user for violation of these Terms, violation of community rules, nonpayment, abuse, misconduct, inappropriate behavior, chargeback abuse, intellectual property violations, or any other reason deemed appropriate by DTG.

7. Inner Circle, Coaching, and Application-Based Programs

Certain DTG programs, including but not limited to Inner Circle or other mentorship programs, may require an application, approval, or invitation.

Submitting an application does not guarantee acceptance. DTG may accept, reject, waitlist, or remove applicants or participants at its sole discretion.

Coaching, mentorship, trade review, feedback, group discussion, or personal development content is educational only and does not constitute individualized financial advice, investment advice, or a guarantee of results.

You remain fully responsible for your own trading decisions and financial outcomes.

8. Live Sessions and Recordings

DTG may provide live trading sessions, market education sessions, coaching sessions, webinars, classes, Q&A sessions, or recorded content.

By participating in any live session, community, chat, webinar, call, or class, you acknowledge and agree that your name, username, voice, comments, messages, likeness, screen name, or participation may be visible to other participants and may appear in recordings, screenshots, clips, recaps, or educational content.

DTG may record, edit, reuse, publish, distribute, or repurpose live sessions and related content for educational, promotional, internal, or commercial purposes.

Do not share personal, financial, sensitive, confidential, or proprietary information in any DTG community or live environment unless you are comfortable with that information being seen by others.

9. User Conduct and Community Rules

You agree to use DTG websites, communities, services, and content in a respectful, lawful, and professional manner.

You agree not to:

• Harass, threaten, abuse, defame, or intimidate others.

• Post hateful, discriminatory, obscene, deceptive, or unlawful content.

• Share spam, promotions, affiliate links, solicitations, or unrelated content without permission.

• Provide financial, legal, tax, or investment advice to other members.

• Share another person’s private information.

• Copy, distribute, sell, or leak DTG content.

• Attempt to hack, disrupt, scrape, overload, reverse engineer, or interfere with DTG systems.

• Impersonate DTG, its team, instructors, moderators, affiliates, or other members.

• Misrepresent your identity, results, experience, or relationship with DTG.

• Use DTG content or communities for competing commercial purposes.

DTG may remove content, warn users, suspend access, terminate accounts, or ban users at its sole discretion.

10. Payments, Billing, Renewals, and Cancellations

By purchasing any DTG product, subscription, membership, course, indicator, event, coaching program, or other service, you authorize DTG or its third-party payment processors to charge your selected payment method for all applicable fees, taxes, and charges.

Subscription products may renew automatically unless canceled before the renewal date. You are responsible for managing your subscription and cancellation settings through the applicable platform, checkout provider, or payment processor.

Failure to use a product, attend a class, access a community, watch recordings, or participate in services does not automatically entitle you to a refund or billing adjustment.

Prices, billing periods, trial periods, promotional offers, coupon codes, and subscription terms may change at any time.

DTG is not responsible for overdraft fees, banking fees, card fees, currency conversion fees, or other charges imposed by your financial institution.

11. Free Trials and Promotional Offers

DTG may offer free trials, discounted trials, promotional pricing, coupons, limited-time offers, or special access.

Unless otherwise stated, trial access may convert into a paid subscription at the end of the trial period. You are responsible for canceling before the trial ends if you do not wish to be charged.

DTG may modify, revoke, restrict, or discontinue promotional offers at any time.

Promotions may be limited to new members, specific products, specific dates, specific platforms, or other eligibility criteria.

12. Refund Policy

Unless otherwise stated in writing at the time of purchase, all sales are final.

Because DTG provides digital products, educational content, community access, recordings, live sessions, software access, indicators, downloads, coaching, and other immediately accessible services, refunds are not guaranteed.

DTG may, at its sole discretion, issue refunds, credits, partial refunds, or access extensions on a case-by-case basis.

Subscription cancellations stop future billing but do not automatically refund prior payments.

Chargebacks, payment disputes, or attempted payment reversals without first contacting DTG may result in immediate suspension or termination of access.

13. Intellectual Property

All DTG content is protected by copyright, trademark, trade secret, and other intellectual property laws.

This includes but is not limited to:

• Website content

• Courses

• Videos

• Live sessions

• Recordings

• Replays

• Trade recaps

• Written materials

• PDFs

• Books

• Frameworks

• Strategy descriptions

• Indicators

• Charts

• Graphics

• Logos

• Branding

• Community posts

• Templates

• Worksheets

• Presentations

• Screenshots

• Audio content

• Marketing materials

• The VWAP Wave System name, framework, and related educational materials

You are granted a limited, revocable, non-exclusive, non-transferable license to access DTG content for your personal educational use only.

You may not reproduce, redistribute, resell, publish, upload, share, copy, modify, create derivative works from, teach, license, sublicense, transfer, commercially exploit, or use DTG intellectual property without prior written permission.

Violation of this section may result in termination of access and legal action.

14. Software, Indicators, Tools, and Third-Party Platforms

DTG may provide access to indicators, toolkits, charting tools, scripts, TradingView tools, Discord communities, Whop products, webinars, payment platforms, broker integrations, affiliate platforms, or other third-party software and services.

DTG does not guarantee that any third-party platform, indicator, script, integration, or software will be error-free, uninterrupted, compatible with your device, compatible with your brokerage account, or available at all times.

Third-party services may have their own terms, privacy policies, fees, rules, restrictions, outages, updates, and limitations. You are responsible for reviewing and complying with those third-party terms.

DTG is not responsible for losses, damages, missed trades, failed alerts, delayed data, platform outages, inaccurate data, software errors, brokerage issues, execution errors, or technical problems arising from third-party tools or services.

15. Broker, Prop Firm, Affiliate, and Sponsor Relationships

DTG may discuss, review, recommend, link to, or partner with brokers, prop firms, software providers, indicators, platforms, trading tools, data providers, exchanges, financial technology companies, sponsors, affiliates, or other third parties.

DTG may receive compensation, referral fees, affiliate commissions, sponsorship fees, discounts, free products, or other benefits when you click links, use coupon codes, open accounts, purchase products, or interact with third-party partners.

Any such relationship does not guarantee that a third-party product or service is suitable for you.

You are solely responsible for performing your own due diligence before using any broker, prop firm, platform, tool, sponsor, or affiliate partner.

DTG is not responsible for third-party actions, rules, fees, account closures, denials, payouts, platform failures, evaluation failures, data issues, customer service, restrictions, trading rules, policy changes, or business practices.

16. Prop Firm and Funded Account Disclaimer

DTG may discuss prop firms, evaluations, funded accounts, payout rules, drawdown rules, consistency rules, trailing thresholds, scaling plans, commissions, market restrictions, or related topics.

Such discussion is educational only. DTG does not control any prop firm and does not guarantee that you will pass an evaluation, receive a funded account, maintain a funded account, qualify for a payout, or receive a payout.

Prop firm rules may change at any time. You are responsible for reading and understanding the rules of any prop firm before participating.

DTG is not responsible for your prop firm losses, evaluation fees, denied payouts, account closures, rule violations, technical issues, platform issues, or misunderstandings of third-party rules.

17. No Client, Fiduciary, or Advisory Relationship

Your use of DTG websites, content, memberships, products, services, or communities does not create a client relationship, fiduciary relationship, investment advisory relationship, brokerage relationship, financial planning relationship, attorney-client relationship, accountant-client relationship, or any other professional advisory relationship.

DTG is not acting as your broker, investment adviser, commodity trading advisor, financial planner, tax advisor, attorney, accountant, or fiduciary.

You should consult qualified licensed professionals regarding your own financial, legal, tax, accounting, and investment decisions.

18. No Custody or Account Management

DTG does not take custody of user funds, manage user accounts, place trades on behalf of users, execute orders for users, pool investor funds, or provide account management services.

You are solely responsible for your trading accounts, brokerage accounts, prop firm accounts, passwords, platform access, order entry, trade execution, position management, and risk controls.

19. Market Data and Information Accuracy

DTG may provide market commentary, charts, examples, price levels, analysis, data, news, commentary, or educational discussion.

While DTG attempts to provide accurate and useful information, we do not guarantee the accuracy, completeness, timeliness, reliability, or availability of any information.

Market data may be delayed, incorrect, incomplete, or subject to revision. Educational examples may contain mistakes. Technical issues may occur.

You should independently verify all information before making any trading or financial decision.

20. Availability of Services

DTG may modify, suspend, discontinue, replace, remove, or restrict any website, product, membership, course, live session, community, indicator, recording, feature, schedule, instructor, service, or content at any time.

DTG does not guarantee uninterrupted access to any service.

We are not liable for outages, maintenance, platform failures, internet issues, account issues, third-party failures, data loss, or service interruptions.

21. Account Security

You are responsible for maintaining the confidentiality of your login credentials, accounts, usernames, passwords, payment information, and devices.

You may not share your login, membership, subscription, course access, indicator access, Discord access, or other DTG access with anyone else.

You are responsible for all activity that occurs through your account.

Notify DTG immediately if you believe your account has been compromised.

22. User Submissions and Content

If you submit, post, upload, share, message, or otherwise provide content to DTG or within DTG communities, including testimonials, reviews, comments, trade screenshots, charts, journal entries, messages, feedback, questions, or other materials, you grant DTG a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, display, edit, publish, distribute, create derivative works from, and otherwise use such content for educational, marketing, operational, and business purposes.

DTG may remove identifying information when appropriate, but you should not submit anything you want to remain confidential.

You represent that you own or have the right to share any content you submit and that your content does not violate any law, contract, privacy right, intellectual property right, or third-party right.

23. Privacy

Your use of DTG websites and services is also governed by our Privacy Policy, which explains how we collect, use, store, and share information.

By using DTG websites or services, you consent to our collection and use of information as described in our Privacy Policy.

24. SMS, Email, and Marketing Communications

By providing your email address, phone number, or other contact information, you consent to receive communications from DTG, which may include transactional messages, account notices, educational content, promotional messages, marketing emails, SMS messages, or other communications.

You may unsubscribe from marketing emails using the unsubscribe link provided. SMS opt-out instructions may be provided in applicable messages.

You are responsible for any message and data rates charged by your carrier.

25. Events, Webinars, and In-Person Activities

DTG may host online events, webinars, workshops, meetups, conferences, retreats, cruises, or other events.

Event details, schedules, guests, speakers, locations, activities, benefits, and availability may change.

Participation in any event is voluntary. You assume all risks associated with attending or participating in any event, including travel, lodging, transportation, personal injury, illness, property loss, expenses, cancellations, and third-party vendor issues.

DTG is not responsible for airline, hotel, cruise line, venue, transportation, weather, health, safety, or third-party provider issues.

Additional event-specific terms may apply.

26. Assumption of Risk

You acknowledge that trading, investing, education, community participation, live sessions, technology use, third-party platforms, and events all involve risk.

You voluntarily assume all risks associated with your use of DTG websites, products, services, communities, content, tools, events, and third-party resources.

You agree that DTG is not responsible for your trading losses, financial losses, emotional distress, opportunity costs, business losses, technical failures, account restrictions, or other damages arising from your actions or reliance on DTG content.

27. No Warranties

DTG websites, products, services, communities, content, tools, and materials are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, DTG disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and uninterrupted service.

DTG does not warrant that its services will meet your expectations, produce any result, be error-free, be secure, or be continuously available.

28. Limitation of Liability

To the fullest extent permitted by law, DTG, its owners, officers, employees, contractors, instructors, moderators, affiliates, partners, sponsors, agents, representatives, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including lost profits, trading losses, investment losses, account losses, business losses, data loss, lost opportunities, emotional distress, or reputational harm.

To the fullest extent permitted by law, DTG’s total liability for any claim arising out of or relating to your use of DTG websites, products, services, communities, or content shall not exceed the amount you paid to DTG for the specific product or service giving rise to the claim during the three months preceding the event giving rise to the claim, or $100, whichever is greater.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

29. Indemnification

You agree to defend, indemnify, and hold harmless DTG, its owners, officers, employees, contractors, instructors, moderators, affiliates, partners, sponsors, agents, representatives, and service providers from and against any claims, damages, losses, liabilities, costs, expenses, demands, actions, or proceedings, including reasonable attorneys’ fees, arising out of or related to:

• Your use of DTG websites, products, services, communities, or content.

• Your trading or investment decisions.

• Your violation of these Terms.

• Your violation of any law or regulation.

• Your violation of third-party rights.

• Your user submissions or posted content.

• Your misconduct in any DTG community or event.

• Your use of any third-party broker, platform, prop firm, software, or sponsor.

30. Termination

DTG may suspend, restrict, or terminate your access to any website, membership, community, course, product, indicator, service, or content at any time, with or without notice, if DTG determines that you have violated these Terms, violated community standards, failed to pay, abused access, engaged in misconduct, harmed the community, or otherwise created risk for DTG or other users.

Termination does not entitle you to a refund unless required by law or expressly stated in writing by DTG.

Sections intended to survive termination shall survive, including intellectual property, disclaimers, limitation of liability, indemnification, payment obligations, dispute resolution, and governing law.

31. Changes to These Terms

DTG may update, revise, or modify these Terms at any time.

The updated version will be posted on the website with a revised “Last Updated” date. Continued use of DTG websites, products, services, communities, or content after changes are posted constitutes acceptance of the updated Terms.

You are responsible for reviewing these Terms periodically.

32. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Florida, without regard to conflict of law principles.

33. Dispute Resolution

Before initiating any formal legal action, you agree to first contact DTG and attempt to resolve the dispute informally.

Any dispute, claim, or controversy arising out of or relating to these Terms, DTG websites, products, services, communities, or content shall be resolved in the state or federal courts located in Florida, unless DTG elects arbitration or unless otherwise required by applicable law.

You agree to submit to the personal jurisdiction of such courts.

34. Class Action Waiver

To the fullest extent permitted by law, you agree that any dispute with DTG must be brought on an individual basis only.

You waive any right to participate in a class action, class arbitration, collective action, representative action, or consolidated proceeding against DTG.

35. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it enforceable, if possible.

36. Entire Agreement

These Terms, together with any policies, disclaimers, risk disclosures, privacy policies, community rules, checkout terms, or product-specific terms referenced herein, constitute the entire agreement between you and DTG regarding your use of DTG websites, products, services, communities, and content.

They supersede all prior or contemporaneous communications, representations, agreements, or understandings.
